Republic of the Philippines · data collaboration · Template v0.2.0
This Memorandum of Agreement ("MOA") is made between Bayanihan Digital Services, Inc., a corporation, with address at 18/F One Ayala Tower, Makati City 1226 (SEC Company Registration No. CS201812345) ("Party A"), and Lakbay Community Foundation, Inc., a nonprofit, with address at 42 Maginhawa Street, Quezon City 1101 (SEC Company Registration No. CN201604321) ("Party B"). Party A and Party B are together the "Parties."
Project: Community Digital Skills Program 2026–2027. Background: The Parties independently deliver technology training and community programs and wish to combine verified facilities, instructors, and participant-support experience for one pilot program.
1. EXPRESS LEGAL EFFECT
The Parties intend every operative obligation in this MOA to be legally binding upon execution, subject to applicable law.
The heading 'Memorandum of Agreement' does not override this express allocation. Any binding provision requires consent, a lawful and sufficiently determinate object, lawful cause, proper authority, and every form or approval required by law or the underlying transaction.
2. PURPOSE AND SCOPE
Shared purpose: Deliver an accessible six-month digital-skills pilot for 120 adult learners in Quezon City and measure completion, skills assessment, and employment-referral outcomes.
Within scope: Design the curriculum, recruit eligible adult participants, deliver twelve instructor-led cohorts in Quezon City, provide learning devices during sessions, document attendance and assessments, and issue a jointly approved outcome report.
Outside scope: No employment placement guarantee, cash loan, scholarship award, transfer of equipment ownership, government procurement, or authority to speak for the other Party is included.
3. TERM AND EFFECTIVENESS
The MOA becomes effective on the date of the last signature below. The planned project period is September 15, 2026 through March 31, 2027, unless earlier ended or extended through the stated written-change process.
4. BAYANIHAN DIGITAL SERVICES, INC. RESPONSIBILITIES
Provide the approved curriculum, six qualified instructors, training devices for each scheduled session, technical support, skills-assessment tools, and monthly delivery records according to the milestone schedule.
5. LAKBAY COMMUNITY FOUNDATION, INC. RESPONSIBILITIES
Recruit and screen eligible participants, provide the training venue and accessibility support, coordinate attendance and safeguarding, obtain required participant notices and permissions, and maintain community liaison records.
6. DELIVERABLES, REVIEW, AND CHANGE CONTROL
Deliverables and milestones: Curriculum and calendar by 30 September 2026; participant roster by 15 October 2026; twelve completed cohorts by 28 February 2027; jointly verified outcome report by 20 March 2027.
Acceptance: The two project leads review each milestone against the dated schedule and attached criteria, record conformity or specific deficiencies in the shared project register, and send written approval or rejection through the official contacts. The documented review period is 10 calendar days after complete delivery. Silence is not acceptance; acceptance requires an affirmative written approval by the authorized reviewer.
No project lead may change scope, deliverables, money, dates, ownership, legal effect, or another Party's responsibility without written approval from representatives authorized for that change.
7. FUNDING, EXPENSES, AND TAXES
No funding obligation is created by this MOA. Each Party bears its own personnel and internal operating costs; approved third-party expenses require a tax-compliant invoice, prior written approval, and applicable withholding documentation.
8. GOVERNANCE, RECORDS, AND NOTICES
Party A project lead: Nico P. Ramos · nico.ramos@bayanihan.example, +63 917 555 0111. Party B project lead: Elena V. Lim · elena.lim@lakbay.example, +63 917 555 0222.
Decision model: mutual written consent. The project leads may administer the approved schedule. Scope, budget, ownership, participant eligibility, public statements, and material dates require mutual written approval by both authorized signatories.
Reporting and records: Project leads issue a shared written progress report on the final working day of each month, with milestones, attendance, risks, decisions, and action owners preserved in the project register.
Operational escalation: A project lead gives a written issue notice within two working days; unresolved matters escalate to both authorized signatories, who meet within five working days and record any agreed resolution.
Formal notices: Formal notices go to the stated business addresses with copies to the official project contacts and are received on documented personal delivery, courier delivery, or acknowledged email receipt.
9. INTELLECTUAL PROPERTY
Project-output model: each creator owns. Each Party retains its pre-existing curriculum, marks, systems, and materials. The identified creator owns each new project output and grants the other Party a non-exclusive, non-transferable Philippine project license for the MOA term and documented reporting purposes.
No ownership transfer, exclusive license, moral-right waiver, trademark permission, or right to reuse a Party's name, mark, system, dataset, or background material is implied beyond the precise written grant.
