How to complete your Partnership Agreement

The guided interview takes you through 8 steps. The document updates as you answer, and some questions appear only when your earlier answers make them relevant.

  1. Step 1

    Choose the correct partnership route

Separate an ordinary general partnership from limited, professional, foreign-equity, regulated, universal, and immovable-property cases before drafting governance terms.

    Up to 11 questions
  2. Step 2

    Define the partnership exactly

Match the name, office, purpose, duration, and registration plan that will appear in the current SEC and BIR records.

    Up to 11 questions
  3. Step 3

    Identify every partner

The internal agreement, SEC filing, beneficial-ownership record, tax file, and identity evidence must describe the same real people and capacities.

    Up to 26 questions
  4. Step 4

    Record capital and industry

Identify what each partner actually contributes, when it is delivered, how property is valued, and whether spouse, IP, lien, or ownership evidence is needed.

    Up to 29 questions
  5. Step 5

    Allocate profits, losses, and cash

Profit and loss shares must total 100%. Keep capital, advances, compensation, drawings, distributions, reserves, and taxes distinct.

    Up to 15 questions
  6. Step 6

    Control authority and decisions

Every general partner can create external risk. State internal limits, unanimous reserved matters, banking controls, conflicts, records, and written decision evidence.

    Up to 11 questions
  7. Step 7

    Plan duties, transfers, and exits

Control competition, confidentiality, IP, admission, assignment, retirement, expulsion, death, incapacity, valuation, and payment without inventing an unlawful forfeiture.

    Up to 14 questions
  8. Step 8

    Dissolve, sign, and register correctly

Dissolution is not immediate termination: authority narrows and winding up continues until liabilities, accounts, assets, notices, and filings are completed.

    Up to 14 questions

PROFITS, LOSSES, CAPITAL ACCOUNTS, AND CASH

Profits are allocated Maria Elena Santos: 50%; Ana Lucia Reyes: 50%. Stated loss shares are Maria Elena Santos: 50%; Ana Lucia Reyes: 50%, subject to mandatory Civil Code rules, including the rule applicable to a purely industrial partner. No partner is excluded from profits, and no allocation creates a risk-free investment return.

Distributions: Quarterly distributions may be approved only after finalizing management accounts, paying due obligations, funding required reserves, and confirming that the distribution will not prejudice creditors or operations. Reserves: Maintain cash equal to at least three months of forecast operating expenses plus accrued taxes, payroll, customer refunds, warranties, and committed project costs.

Capital accounts and advances: Maintain a separate capital account and partner-advance ledger for each partner; additional capital requires unanimous written approval, while advances must state repayment priority and any lawful written interest. Drawings: No personal drawing is allowed except the approved monthly partner allowance, recorded against distributions and reconciled quarterly without overdrawing a capital account.

Compensation and reimbursements: Partners receive no salary merely as partners; approved reimbursements require receipts, and any distinct employment or service arrangement must be genuine, written, and separately administered. A partner is not treated as an employee merely by label; any genuine separate employment or service relationship must be documented and administered according to its actual facts and mandatory law.

Tax and invoicing responsibilities: The managing partner coordinates BIR registration, books, invoicing, withholding, returns, and tax certificates with the retained accountant; each partner remains responsible for personal filings and providing accurate tax information.
