Legal considerations

Standard. Match every notice and cure mechanic, start the deadline from verified effective service, account for reciprocal performance and waiver, and avoid declaring remedies not yet legally available.

How it is signed

Signed by the people involved. The people involved sign it, with witnesses or a notary where your signing checklist says one is needed. Notarizing a private document is often chosen anyway because it makes the document easier to prove.

  • Electronic Commerce Act
  • Supreme Court demand and substantial-breach jurisprudence

How to complete your Notice of Contract Breach and Opportunity to Cure

The guided interview takes you through 7 steps. The document updates as you answer, and some questions appear only when your earlier answers make them relevant.

  1. Step 1

    Choose the notice route

This generator records an alleged private-contract breach and a measurable opportunity to cure. Specialist transactions require their own principal-law review.

    Up to 6 questions
  2. Step 2

    Identify the parties and authority

Use exact contract-party names. A representative must have authority to send or receive notices for the named party.

    Up to 9 questions
  3. Step 3

Use the complete contract notice rules

    Up to 12 questions
  4. Step 4

    State the alleged breach fairly

Separate verified facts from conclusions. Include the claimant's own reciprocal performance and any known recipient position, extension, waiver, or course of dealing.

    Up to 10 questions
  5. Step 5

Reconcile money and define the cure

Demand only supported amounts and state a measurable cure. The deadline runs from the verified contractual service event—not merely the date printed on the notice.

  6. Step 6

    State controlled next steps

Reserve lawful remedies without claiming that termination, rescission, damages, forfeiture, or suspension automatically follows from this letter.

  7. Step 7

Serve and preserve the exact notice

Use every required contractual channel, preserve the exact attachments, and calculate the cure deadline only from the verified effective-service event.

The complete notice and cure provision reviewed for this notice states: Section 15 requires notices to the named contract offices by personal delivery, trackable courier, and the designated contract email; notice is effective on actual receipt and allows ten calendar days to cure.

Verified service methods: personal, courier, contract email. Notice-effect rule: actual receipt. Minimum contractual cure period recorded: 10 day(s).

2. Specific alleged breach

The claimant gives formal notice of an alleged failure to pay breach. The specific facts presently relied upon are: Invoice INV-2026-071 for the accepted July support services became due on 15 August 2026. No payment was received by 31 August 2026 despite the 18 August account reminder, and the service acceptance record remains undisputed.

Supporting evidence presently identified: Signed agreement and Schedule B, July acceptance certificate, BIR Invoice INV-2026-071, account ledger, bank records, and the complete 18 August reminder email.

Claimant's reciprocal performance, tender, readiness, and remaining duties: The claimant delivered and documented the accepted July support services, issued the required invoice, maintained the agreed response capability, and remains ready to perform unaffected duties.

No recipient position is represented as known in this notice; the cure and response process remains open.

The claimant has not waived the obligation identified above. Any earlier extension, accommodation, or acceptance of performance was limited to its own terms and does not waive this obligation or the rights reserved in this notice.

3. Reconciled monetary component

Response and cure-delivery channel: Send the response and cure evidence to contracts@bayanihan.example and the physical notice address above.

The cure period is 10 calendar days beginning from actual receipt. The deadline runs only from the verified service event; the printed date of this notice alone does not shorten the period.

5. Conditional next steps and rights preserved

If complete cure is not documented by the properly computed deadline, the claimant presently contemplates damages or collection review: Review collection, contract performance, and other available remedies against the complete record only after the verified cure period expires without complete cure.

No termination, resolution or rescission, damages, forfeiture, acceleration, suspension, attorney's fees, or other remedy is declared automatic merely because this notice was issued or the stated deadline passes. Any next step remains subject to the complete agreement, the materiality of the breach, reciprocal performance, waiver or course of dealing, mandatory law, evidence, third-party rights, and any required judicial, arbitral, administrative, or contractual process.

This notice does not threaten lockout, seizure, utility cutoff, account or system intrusion, publication, harassment, interference with property, or another form of unlawful self-help.

Without prejudice to the stated cure demand, the claimant invites a documented resolution discussion through: A without-prejudice discussion may be requested through contracts@bayanihan.example without suspending the cure period unless a signed extension states otherwise.
