Commonly used by

  • Online businesses
  • Organizations

Legal considerations

Heightened care. The terms must match the actual service, checkout, consumers, promotions, moderation, and privacy practices.

How it is signed

Signed by the people involved. The people involved sign it, with witnesses or a notary where your signing checklist says one is needed. Notarizing a private document is often chosen anyway because it makes the document easier to prove.

What it draws on

  • E-Commerce Act
  • Consumer Act
  • Internet Transactions Act
  • Data Privacy Act

The exact provisions, with links to the official text, are listed under the Philippine law behind it.

WEBSITE TERMS OF USE

Republic of the Philippines — Online service terms · Template v0.2.0

These Website Terms of Use (the "Terms") govern your use of Sampaguita Shop at www.sampaguitashop.example (the "Website"), operated by Sampaguita Trading Corporation, with address at 22 Bonifacio Street, Cebu City 6000 and SEC Registration No. CS201812345. You can reach us at help@sampaguitashop.example or +63 32 555 0100.

You accept these Terms by clicking "I agree", by placing an order, or by creating an account. Using the Website without an account means you accept the rules on acceptable use and intellectual property below. A contract formed online in this way is recognized under the Electronic Commerce Act. If you do not agree, do not use the Website. These Terms take effect on October 1, 2026 (Version 1.0).

1. Who may use the Website

You must be at least 18 years old to use the Website. A person under 18 cannot give valid consent to a contract on their own (Civil Code, Article 1327).

2. Your account

You are responsible for the information you give, for keeping your password secure, and for what happens under your account. Tell us at once if you think your account has been misused.

3. Acceptable use

You must not use the Website to post or transmit unlawful content, infringe intellectual property or privacy rights, harass, threaten, or defame others, spread malware or attack the service, scrape or copy the service without permission and commit fraud or misuse payment methods. You must also follow the law when you use the Website.

4. Content you post

You keep ownership of the content you post. You give us a limited, non-exclusive license to host, display, and reproduce it on the Website only so that we can run the service. You promise that you have the right to post it and that it does not break the law or anyone's rights.

We review and remove content as follows: Reviews are checked by our team on report and removed if they break these terms or the law. We tell the poster why, and they may ask us to reconsider.

If you believe content on the Website infringes your intellectual property, send a complaint with your details, the work, and the location of the content to ip@sampaguitashop.example.

5. Our content and intellectual property

The Website, its design, text, images, and marks belong to us or our licensors and are protected by the Intellectual Property Code. We give you a limited, personal, non-transferable license to use the Website as these Terms allow. You may not copy, modify, or exploit it for other purposes without our written permission.

6. Orders, prices, and payment

When you place an order, you make an offer to buy. A contract is formed when we accept it, for example by confirming the order.

Before you confirm an order, you can review it, see the full price including taxes and fees, and correct any mistake.

Prices are shown in Philippine pesos and include value-added tax.

Payment is processed through PayMongo, using cards and e-wallets. We do not store your full card details.

We issue an electronic or paper invoice or receipt for every sale (Internet Transactions Act, Section 23).

Delivery: We ship within the Philippines using third-party couriers. We tell you the estimated delivery time at checkout and email you a tracking number when your order ships.

If goods are defective, damaged, or do not conform to the order or their description, you may ask for repair, replacement, or a refund within the warranty period the law gives, which for new consumer products is at least 60 days from the sale. We bear the cost of returning the goods (Consumer Act, Article 68; Internet Transactions Act, Section 20).

Other returns and refunds: If you change your mind, you may return an unused item in its original packaging within seven days of delivery. We refund the price within seven days after we receive it, and you pay the return shipping for change-of-mind returns.

7. Your consumer rights

Nothing in these Terms limits or waives any right you have under the Consumer Act of the Philippines, the Internet Transactions Act, or any other law that cannot be waived, including your rights to accurate information, safe and conforming goods and services, and a remedy for defective goods or services.
