Deed of Absolute Sale of Personal Property

Republic of the Philippines · Template v0.2.0

This Deed of Absolute Sale of Personal Property (the “Deed”) is executed on August 29, 2026 by Maria L. Santos, of legal age, single, with address at 100 Ayala Avenue, Makati City 1226, as “Seller,” in favor of Roberto C. Bautista, of legal age, doing business under the name and style Sampaguita Printworks, with address at 20 Kalayaan Avenue, Quezon City 1100, as “Buyer.”

The parties intend an absolute sale for a certain price of the specifically identified tangible movable property below. This Deed is not an open deed, installment sale, security agreement, or transfer of land, a motor vehicle, shares, intellectual property, ship, or aircraft.

1. Property sold

The property is categorized as equipment and is specifically described as follows: One Heidelberg offset printing press, model SM 52-2, manufactured in 2017, gray finish, presently located at the Seller's Makati warehouse.

Unique identifiers: Manufacturer serial number 205001 and Seller asset tag MLS-044. Included accessories, components, and records: Installed feeder, delivery unit, operator console, two manuals, and one tool kit.

The property is transferred as one identified sale lot for the total price stated below.

2. Absolute sale and price

For the total price of ₱850,000.00, the Seller sells, assigns, and transfers the Property to the Buyer, subject only to actual full payment, delivery, and the disclosed matters in this Deed. The Buyer shall pay the full price simultaneously with signing by bank transfer to the Seller's nominated account in immediately available funds. Payment reference: Transfer reference BPI-20260829-7781.

The stated price includes every tax lawfully chargeable by the Seller to the Buyer for this sale. Each party remains responsible for taxes legally imposed on that party, and the Seller shall issue any invoice or receipt required by its actual tax status.

No balance remains after the agreed full-payment event. If any price will remain unpaid after signing, the parties must use an installment or conditional-sale instrument rather than rely on this Deed.

3. Seller's title, authority, and disclosed claims

The Seller represents that it owns the Property or has lawful written authority to sell and transfer it. The basis is: Purchased new from Philippine Graphic Machines under Invoice PGM-2017-441 dated June 3, 2017. The Seller represents that the identifiers and provenance stated in this Deed are accurate and that the Property is not stolen, counterfeit, unlawfully possessed, or subject to an undisclosed ownership claim.

The Seller states that the Property is the Seller's separate property and that no spousal or third-party consent is required for this disposition.

The parties record that a relevant search of the LRA Personal Property Security Registry found no active notice identified by the search criteria. A registry search is not itself a guarantee of title or absence of unregistered claims; the search report and criteria must be retained.

Except as expressly disclosed in this Deed, the Seller warrants that the Property is free from another person's ownership, lease, attachment, repairer's lien, security interest, encumbrance, or restriction on transfer.

The interview records no unresolved registry notice, claim, or consent issue, subject to verification of the underlying evidence.

4. Delivery, ownership, and risk

The Seller shall deliver possession and control of the Property on August 29, 2026 at the Seller's address stated in this Deed. Delivery occurs by physical turnover to the Buyer together with the included accessories and records.

Ownership passes to the Buyer only when both full cleared payment and delivery have occurred. Until then, the Seller retains ownership, custody obligations, and risk of loss, except to the extent a loss is caused by the Buyer's wrongful delay in accepting conforming delivery. After delivery, ordinary risk passes to the Buyer, without limiting a claim for a pre-existing defect, breach, fraud, or nonconformity.

The parties shall sign a dated turnover record identifying the Property, identifiers, included items, meter or usage readings if any, keys or credentials, visible condition, documents, and the person receiving possession. Partial or substituted delivery requires the Buyer's written acceptance.

5. Inspection, condition, and disclosed defects

The Buyer states that it had a reasonable opportunity to inspect and test the Property before signing. Its recorded condition is: Used, operational, and producing the sample output inspected by the Buyer, with ordinary cosmetic wear.

The Seller has disclosed no known material defect, damage, missing component, unauthorized modification, or operating limitation beyond ordinary wear consistent with the stated condition.

Inspection and acceptance cover only conditions reasonably discoverable through the agreed inspection. They do not waive fraud, intentional concealment, bad-faith nondisclosure, a false express representation, warranty against eviction, an applicable latent-defect remedy, product-safety duty, or a non-waivable consumer right.
